Agreement
These terms are an agreement between TPA VENTURES PRIVATE LIMITED, a private limited company incorporated in India (CIN U70200MH2026PTC469252), and the School that signs an order form or accepts these terms. If a School has a signed master agreement or data privacy agreement with us, that agreement controls where it conflicts with these terms.
The service
TPA Ventures provides software that drafts IEP content and tracks special education timelines for review by certified educators. Drafts are suggestions. The School's IEP team is responsible for the content of each IEP and for all eligibility, placement and service decisions under 34 CFR § 300.321 and applicable state law.
Student data ownership
The School owns and controls all student data. We receive a limited license to process it only to provide the service. We do not acquire any rights to student data, and we do not use it for model training, advertising or any purpose outside the agreement.
Acceptable use
Users may not upload data the School is not authorized to share, attempt to access other Schools' data, reverse engineer the service, or use it to make automated decisions about students without educator review.
Fees and payment
Fees are set out in the order form. Invoices are payable within 30 days unless the order form states otherwise. We accept purchase orders and work within public procurement processes.
Term and termination
Subscriptions run for the term in the order form. Either party may terminate for material breach not cured within 30 days of notice. On termination, student data is returned or deleted as described in our Privacy Policy and the School's data privacy agreement.
Warranties and liability
We warrant that the service will perform materially as documented and that we will comply with FERPA and applicable state student privacy laws in processing student data. Except as stated, the service is provided as is. Each party's liability is limited to fees paid in the twelve months before the claim, except for breaches of confidentiality or data protection obligations, which are governed by the limits in the School's data privacy agreement.
Governing law
These terms are governed by the laws of India, and the courts at Mumbai, Maharashtra have exclusive jurisdiction over any dispute, unless the School is a public entity whose state law requires its own governing law and venue, in which case that state's law and venue apply.
